Doing this in Fiji

Getting ownership changes right.

Changes in ownership carry legal, tax and record-keeping consequences. These are the points we work through with you.

01

Beneficial ownership registers

Companies identify their ultimate beneficial owners, keep a UBO register with supporting evidence and confirm the information each year.

02

Stamp duty on transfers

Stamp duty may apply to a share transfer. Where it does, we calculate it as part of preparing the transfer documents.

03

Lodgement and registers

Allotments are lodged with the Companies Office and every change is recorded in the register of members, so ownership is always clear.

Questions

Share registry FAQs.

What is a UBO register?

A register of the ultimate beneficial owners — the individuals who ultimately own or control the company. We identify them, set up the register with documented evidence, and handle annual confirmations and changes.

Is stamp duty payable on a share transfer?

It can be, depending on the transfer. Where stamp duty applies, we calculate it as part of preparing the transfer forms and board approval.

How long does a share allotment take?

Typically 1–2 weeks, covering the allotment resolution, share certificate, Companies Office lodgement and update to the register of members.
