Doing this in Fiji

The obligations that keep a company in good standing.

Every Fiji company carries ongoing statutory obligations. These are the ones our governance work is built around.

01

Annual returns

Companies lodge an annual return and keep their statutory filings current with the Companies Office. Missing them can have consequences for the company and its directors.

02

Statutory registers

Registers of members, directors and ultimate beneficial owners must be maintained and kept up to date as the company changes.

03

A local registered office

A registered office in Fiji gives the company an official address for statutory correspondence — especially important when owners are based overseas.

How it works

What you'll need

Your company's existing records — constitution, registers and recent filings — so we can confirm where things stand before taking over.

Questions

Corporate governance FAQs.

What does a company secretary do?

A company secretary prepares and lodges annual returns, maintains the statutory registers, drafts minutes and resolutions, and liaises with the Companies Office and FRCS. Our Named Company Secretary service also includes attending and minuting board meetings.

Can you provide a registered office if we are based overseas?

Yes. We provide an official business address in Nadi or Suva, receive and scan statutory mail, and forward it to directors on request.

What is the annual legal compliance review?

A 2–3 week review of your filings, registers and constitution, with a gap analysis against the Companies Act 2015 and a remediation plan. It is included in our Combined Governance Package.
