One fixed-fee packageCovers one shareholder/director, one investor permit and one business bank account. Request the guide for the full price list.

How we do it · Step by step

Your business in Fiji, set up step by step.

The same process for every investor, wherever you are coming from. Here is exactly what we do, what we need from you, and how long each step takes. Almost all of it happens while you are still overseas; you visit Fiji once, to open the bank account.

Stage 1

Before we start

  1. A

    Talk it through

    Free consultation
    What we do
    • Confirm the right structure: a Fiji company, or a branch of your overseas company
    • Check your activity against the reserved and restricted list and the minimum investment
    • Check your proposed company name (for example, "Fiji" cannot be its first word)
    What you tell us

What you plan to do, who will own and run it, how much you expect to invest and how many people you plan to employ.

  2. B

    Engagement letter

    1–2 days
    What we do

Send a fixed-fee engagement letter with our Master Terms of Business and your personal documents checklist.

    What you do

Sign the letter and pay the 50% deposit. Work starts once the deposit is received.

  3. C

    Documents

    Depends on you
    What we do

Review every document before anything is lodged. Incomplete documents are the most common cause of delay, so we check first.

    What you provide
    • Certified passport bio-data page and birth certificate for each shareholder and director
    • Proof of address and passport photos
    • Business plan with a cash flow forecast (we can prepare it)
    • Evidence of the source of your investment funds
    • Police clearance and a medical report on the Fiji Immigration form
Stage 2

Setting up: the eight steps

  1. 01

    Company registration

    2–3 working days
    What we do

Reserve the name and incorporate the company with the Registrar of Companies under the Companies Act 2015, on standard Articles. We usually start with 100 ordinary shares of FJ$1, and issue further shares once your investment arrives. Our local director and registered office can be in place from day one.

    What you do

Sign the consents and signing pack we send you.

  2. 02

    Shareholder & director TINs

    2–3 working days
    What we do

Apply to the Fiji Revenue and Customs Service (FRCS) for a Tax Identification Number for you and any co-investors.

    What you do

Nothing more, if your documents are complete.

  3. 03

    Company tax & VAT registration

    1 working day
    What we do

Register the company for its TIN, income tax and VAT with FRCS.

    Good to know

Importing? Don't ship goods until the company is incorporated and its TIN is issued, or they cannot clear Customs in the company's name.

  4. 04

    Business profile & MCTTT registration

    1–3 working days
    What we do

Register the company's business profile with the Ministry of Trade (MCTTT) through businessNOW. It is needed before the Reserve Bank will approve your investment.

    What you do

    Nothing more.

  5. 05

    Reserve Bank of Fiji approval

    About 3 working days
    What we do

Apply for exchange control approval of your foreign shareholding and investment funds. This is what lets your money come into Fiji, and later lets profits go back out.

    What you do

Confirm the amount you will invest and where the funds come from.

  6. 06

    Investor permit

    About 21 working days
    What we do

Prepare and lodge your application on ImmiHub with the company's request letter, and answer the Department's queries until it is decided. Your spouse and children can be included as dependants.

    Good to know

You do not need to move to Fiji to hold a permit. Fiji banks will not open an account for a foreign-owned company until its foreign director holds one. The government permit fee is paid at cost.

  7. 07

    Employer & payroll setup

    During setup
    What we do

Register the company as an employer with FNPF and set up PAYE and payroll, so you are ready for your first hire. FNU levy registration follows once you employ staff.

    What you do

Tell us when you expect to hire and how many people.

  8. 08

    Business bank account

    After the permit
    What we do

Prepare the bank's KYC pack, introduce you to the bank and support you through account opening and signatory approval.

    What you do

Visit Fiji once and attend the bank in person, usually after your permit is approved. Banks also look at who ultimately owns the company, so have those details ready.

If you need the minimum investment waived

Most foreign investors must bring at least FJ$300,000 into Fiji within three months of incorporation (more for some activities, such as hotels and resorts). Where that amount is not needed for your plan, we apply to the Minister for a waiver once the company is incorporated, alongside the Reserve Bank application, built on your business plan, local jobs and skills. The decision is the Minister's, so we cannot guarantee the outcome.

Stage 3

Once you are set up

Bring in your investment

Your investment funds arrive in the company's Fiji account under the Reserve Bank approval, and we issue the matching shares. Once there, the money can be spent on genuine Fiji business costs.

Local director

Every Fiji company needs a director who ordinarily lives in Fiji. Ours acts through board resolutions and stays until you become resident or appoint your own.

Compliance from day one

Monthly VAT, PAYE and FNPF, bookkeeping, the annual tax return and the annual return to the Registrar, all on one compliance calendar we set up at incorporation.

Paying profits home

Dividends and payments to your overseas company need FRCS tax clearance and then Reserve Bank approval through your bank. We handle both.

Tax treaties

Australia, New Zealand, India and China

Dividends a Fiji company pays to overseas shareholders are exempt from Fiji withholding tax, with or without a treaty. Without a treaty, Fiji withholds 10% on interest and 15% on royalties and management fees paid overseas. A double tax agreement can lower those rates and stops the same income being taxed twice.

Australia

Double tax agreement in force. Interest 10%; royalties and management fees 15%. Fiji tax paid can be credited against your Australian tax.

New Zealand

Double tax agreement in force. Interest 10%; royalties and management fees 15%. A revised agreement was negotiated in 2026 and is awaiting signature.

India

Double tax agreement signed in 2014. Interest 10%; royalties and management or technical fees 10%, lower than Fiji's standard 15%.

China

No double tax agreement. Fiji's standard rates apply: interest 10%, royalties and management fees 15%. Relief depends on China's own rules.

A general guide only. We confirm the treaty position for your structure when we start.

Every step above has a fixed fee, the same for every investor. Get the full price list in our free Investor Guide & Fees, or talk it through with Alvin.
